Ltd- terms of business - 2004 edition
IMP is the abbreviated word for Internet Media Productions Ltd.
By using the services of IMP you accept the following terms
of business: |

Any domain names registered on behalf of the client
will remain the property of IMP until we have received full
payment. |
| |
|
 |
All website design will remain the property of
IMP until payment is received in full. IMP will transfer ownership
of the website design and all PROJECT RIGHTS over to the client
upon receipt of final payment. |

|
PROJECT RIGHTS - any project
rights generated for an IMP client, including, trademarks, drawings,
diagrams, design, artwork, photographs, digital photographs,
etc, work manipulated on behalf of a IMP client, work commissioned
by a IMP client, passwords, access codes, & flash code specific
to the IMP clients website, will all be passed over to the IMP
client upon full payment being received by ourselves. IMP retains
the right to use any HTML code, ASP code, database coding and
Javascript on other clients projects. |

All website content is to be provided by the client,
and no responsibility is taken by IMP for any images or text
displayed on the website, that subsequently has existing copyright
associated with it, that may cause grievance with the original
owner. |

Upon transfer of the website to the web server (website going
live), and subsequent transfer of ownership of design rights,
the client accepts full responsibility for the whole content
of the website, and any grievances, arising as result of this
content, either in the United Kingdom, or any other countries,
will be the sole responsibility of the client. IMP will take
no responsibility what so ever. Additionally, IMP will take
no responsibility, what so ever, for the content of third party
websites where links have been placed on the clients website,
to link off to these websites. |

Any hosting space for the website, reserved for
the client, will remain the property of IMP until full payment
is made by the client. |

|
 |
IMP cannot be held responsible for any virus that
may be passed on to any computer from the web server, or by
email. IMP will not be held responsible for any loss, or theft
of data from a clients PC - it is advised that a suitable security
software package is sourced and installed, and this is the responsibility
of the client. |

|
 |
IMP cannot guarantee web server security, and
cannot be held responsible for any loss, or misuse by third
parties, of any data that is captured and/or stored on the web-server,
even using SSL encryption or 'Actnic' based encryption. |
| |
|
| |
If clients require marketing from IMP, websites
will be tailored for all the major UK search engines, although
we operate a, we cannot guarantee the rankings/placings within
any of these search engines. |
| |
|
 |
All prices quoted in any proposal are valid for
28 days from date of proposal. |
| |
|
 |
Prices do not include any hardware or software
that may be required, unless specified on the order. |
| |
|
 |
Prices do not include the cost of any merchant
accounts required by the client for on-line credit card transactions.
|
| |
|
 |
IMP will register all websites that are designed
and built by IMP, with all major UK search engines once. It
is then the responsibility of the client to re-register if required,
unless specified on the order. |

|
 |
IMP will endeavor to host the website on a 24
hours a day basis, through a partnership with a professional
web hosting company, but cannot be held responsible for any
downtime of the web server, or other equipment, connected to
the Internet, which causes the clients website to be off-line
for any reasonable amount of time, or causes loss of revenue
on a website or an e-commerce enabled website. This is applicable
to website hosting and any email POP3 accounts and email forwarding.

IMP will not be held responsible for any problems
arising from the clients own email account and Internet service
provider (ISP). |
| |
|
 |
If a website is not hosted by IMP, payment for
a completed website will be due when the website is built. |
| |
|
 |
If the website is hosted by IMP, then payment
in full will be due once the website is live (ie connected to
the Internet). |
| |
|
 |
If the website that is hosted on IMP behalf starts
to exceed the stated bandwidth allowance by the third party
hosting company, then IMP will pass on any extra charge to the
customer. |
| |
|
 |
IMP (www.clickonimp.com) is a business based in
Yorkshire, England, and is therefore governed by English law.
This is still applicable for anybody who can view the website
in any other country, and / or has contact with IMP by any other
means of communication such as electronic mail, fax or post,
without necessarily having viewed the website (www.clickonimp.com).

Once the website has been placed live on the Internet,
the client has seven days to make any changes through IMP, to
the website. After this period, the client is deemed to have
accepted that the website is satisfactory. |
| |
|
 |
ALL Digital Video Porfolios™ (Cd and Cd
Business card) artwork, video footage etc produced by IMP, for
the client, will remain the sole ownership of IMP. The portfolio
can be used in any promotion/advertising by IMP. If the client
requires full rights, this can be obtained by paying a release
fee to IMP. |
